Terms of use

Last updated: November 4, 2026

Draft: company details pending. Values shown in [brackets] are placeholders and will be replaced with our registered company details.

These terms govern your use of thetalayer.io (the “site”). They don't cover the ThetaLayer platform or a pilot — those are governed by a separate agreement or order form.

Scope and acceptance

The site is operated by [Legal entity name, e.g. ThetaLayer GmbH], [Street and number], [Postal code] Berlin, Germany (“ThetaLayer”, “we”, “us”). By using the site, you agree to these terms. If you use the site on behalf of an organization, you agree to them on its behalf. If you don't agree, please don't use the site.

Use of the ThetaLayer platform, pilots and related services is governed exclusively by a separate written agreement or order form between your organization and us. If that agreement conflicts with these terms, the agreement prevails. Nothing on the site is a binding offer; a contract comes into existence only when such an agreement is concluded.

Using the site

The site provides information about ThetaLayer and lets you request a demo or contact us. You may use it for lawful purposes, including evaluating our products for your organization. You must not:

  • break any applicable law, or infringe the rights of others, when using the site;
  • try to gain unauthorized access to the site, its staff-only areas, or the systems and databases behind it;
  • probe, scan or test the vulnerability of the site, or circumvent its security measures or rate limits;
  • interfere with the site's operation, for example by introducing malware or overloading it;
  • use bots, scrapers or other automated means to access the site in a way that places an unreasonable load on it, or to collect personal data;
  • submit false information, impersonate someone else, or submit someone else's details without their permission;
  • frame or mirror the site, or present its content as your own.

If you've found a security vulnerability, please report it to [Contact email, e.g. hello@thetalayer.io] instead of testing it further. We may restrict or block access to the site if we reasonably believe these terms are being broken.

No professional advice

Content on the site — including articles about regulation such as the EU AI Act and DORA — is general information. It isn't legal, regulatory, compliance, financial, tax or other professional advice, and it doesn't replace advice tailored to your situation.

Figures labeled as examples come from a demo environment with simulated data. They illustrate how the product works and aren't predictions or guarantees of results. Third-party statistics are attributed to their sources, and we don't guarantee their accuracy. Features described as on our roadmap reflect current plans and may change.

Intellectual property

The site and its content — including text, graphics, illustrations, diagrams, logos and software, and their selection and arrangement — are owned by us or our licensors and protected by copyright and other intellectual property laws.

You may view the site, and download or print pages for your own use or to evaluate our products within your organization, as long as you keep any copyright and other notices. Any other use, including reproducing, modifying, distributing or publicly displaying our content, requires our prior written permission, unless the law allows it (for example, quotation with attribution).

Trademarks

“ThetaLayer” and the ThetaLayer logo are trademarks of [Legal entity name, e.g. ThetaLayer GmbH]. You may not use them without our prior written permission, except to refer accurately to us and our products.

The site mentions companies and products of third parties — for example Microsoft, Salesforce, SAP, ServiceNow, Oracle, Workday, Google and GitHub. Those names and marks belong to their respective owners. We use them only to identify those products, for example to describe systems our product is built to read from or to work alongside. Their use doesn't imply any affiliation with, sponsorship or endorsement by, or partnership with their owners.

Your submissions

When you use our forms or email us, you confirm that the information you provide is accurate and that you're entitled to share it, including on behalf of your organization. We handle personal data as described in our privacy policy.

Please don't send confidential information or trade secrets through the site. Submitting information through the site doesn't create a confidentiality obligation or any other contractual relationship beyond these terms. If you'd like to share confidential information, we're happy to sign a non-disclosure agreement first.

If you send us suggestions or feedback about our products, we may use them freely and without any obligation to you. We won't name you or your organization in connection with them without your permission.

The site may link to websites operated by others, such as sources we cite. We don't control those websites and aren't responsible for their content, availability or privacy practices. A link doesn't mean we endorse a website. We checked linked pages for apparent legal violations when we added the links; if we learn that a linked page breaks the law, we'll remove the link.

Disclaimers

We work to keep the site accurate and up to date, but we provide it free of charge and as is. To the extent permitted by law, we make no warranties or representations about the completeness, accuracy, timeliness or availability of the site or its content, or that the site will be uninterrupted or free of errors or harmful components. We may change, suspend or discontinue all or part of the site at any time.

This section doesn't limit our liability as set out in the next section.

Limitation of liability

We're liable without limitation:

  • for damage caused intentionally or through gross negligence;
  • for injury to life, body or health;
  • under the German Product Liability Act (Produkthaftungsgesetz);
  • where we've fraudulently concealed a defect or given a guarantee; and
  • wherever liability can't be limited or excluded under mandatory law.

For slight negligence, we're liable only if we breach a material obligation — an obligation whose fulfillment is essential to the proper use of the site and on which you may regularly rely (a “cardinal obligation”). In that case, our liability is limited to damage that is typical and foreseeable for a free website of this kind.

Otherwise, our liability for slight negligence is excluded. These limitations also apply to the personal liability of our employees, representatives and agents.

Indemnity

If you use the site on behalf of a business and are responsible for a breach of these terms, you'll indemnify us against third-party claims arising from that breach, including the reasonable cost of our legal defense. We'll tell you promptly about any such claim and give you the opportunity to take part in its defense.

Changes to these terms

We may update these terms from time to time, for example when we change the site or the law changes. The version published here when you use the site applies. The “Last updated” date at the top shows when we last changed them.

Governing law and jurisdiction

These terms, and any dispute arising out of or in connection with them or the site, are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-laws rules.

If you're a consumer, this choice of law doesn't deprive you of the protection of mandatory consumer protection provisions of the country where you habitually reside.

If you're a merchant (Kaufmann) within the meaning of the German Commercial Code, a legal entity under public law or a special fund under public law, or a business with no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising out of or in connection with these terms is Berlin, Germany. We may also bring proceedings at your general place of jurisdiction. Mandatory statutory places of jurisdiction remain unaffected.

Severability

If any provision of these terms is or becomes invalid or unenforceable, the remaining provisions stay in effect, and the statutory provisions apply in place of the invalid one. If we don't enforce a provision right away, we don't waive our right to enforce it later.
