About ThetaLayer

Every AI agent accountable for what it does — and what it costs

ThetaLayer is building the accountability plane for AI agents: one record of what each agent did, what it cost and whether it was worth it, across every vendor and every system of record.

Founded 2026 · Berlin · Europe, the UK and North America

Our mission

Enterprises are paying for a digital workforce they can't yet manage. We're building the layer that lets them.

AI agents now read email, update spreadsheets, change CRM records and post to ERPs. They run on a growing number of platforms, under a mix of their own identities and borrowed ones, and they bill by the token, the credit and the seat.

Each of those systems keeps its own partial record. None of them can answer the questions a CFO, a Chief AI Officer or an auditor actually asks: what did this agent do, what did it cost, and was it worth it?

ThetaLayer answers them with evidence — by reconciling what agents claim against what the systems of record show, and attaching the cost to the outcome.

Why now

Four shifts, arriving at once

01

Agents moved from pilots to production

Agents now post invoices, change vendor records and update CRMs without a person checking every step. They run on more platforms each quarter, under their own identities and borrowed ones. Governance hasn't kept pace.

21%

have a mature governance model for autonomous agents

Deloitte, State of AI in the Enterprise 2026

02

The spend is real. The value is unproven.

Token bills, platform credits and seat licenses are growing faster than anyone's ability to tie them to outcomes — and cost is already holding adoption back.

37%

of organizations see any EBIT impact from AI — flat on 2025

1 in 5

already limit AI use because of token and running costs

03

Someone now owns the return

AI returns have a named owner, and that owner needs numbers that hold up in front of the CFO. The leaders already measure: more than 60% of “future-built” companies rigorously track AI value, against 17% of stagnating ones.

76%

now have a Chief AI Officer

04

Regulation is arriving

DORA already applies to financial entities. Both regimes expect organizations to show what automated systems did and who oversaw them — with records, not recollections.

EU AI Act human-oversight and logging duties for high-risk uses apply

EU AI Act, Regulation (EU) 2024/1689; DORA, Regulation (EU) 2022/2554

What we believe

Six convictions behind the product

  1. 01
An agent's log is a claim.

The system of record is the evidence. Accountability starts where the two are reconciled.

  2. 02
Cost per outcome beats cost per token.

Token prices say little. What a completed invoice costs — failures and retries included — says a lot.

  3. 03
    Autonomy is earned.

Agents should gain or lose autonomy on their track record, the way people do.

  4. 04
    Neutrality is a feature.

Comparisons only hold if every vendor is measured with the same definitions, by someone who doesn't sell agents.

  5. 05
    Observe before you enforce.

Rules written against real history are better rules. Enforcement comes after the evidence.

  6. 06
The safest data is data you never collect.

Minimize at the source, hash what you need to join, and drop the rest.

The name

Why θ

Our mark is a theta split by a plane — a small picture of what the product does.

What they claimWhat changed
  • Top arc · agents

What agents claim they did — tool calls, results, costs — from every runtime and vendor.

  • The plane · ThetaLayer

The layer between the two, holding both sides to one contract and one set of definitions.

  • The node · reconciled evidence

Where a claim meets the record: confirmed, unconfirmed or contradicted, with the link method and confidence.

  • Bottom arc · systems of record

What actually changed — ERP postings, CRM and HRIS updates, approvals, payments.

Where we are

Early, focused, and working with design partners

We run six-week, read-only pilots with design partners, starting where agents already touch money and records — accounts-payable invoice processing first.

Design partners

What a good design partner brings
  • Agents in production that act on at least one system of record
  • A Chief AI Officer or Head of AI as sponsor
  • An operational champion — a Finance Ops lead or VP Engineering
  • A CFO co-signer for the success criteria, agreed up front
